Fund structures

The jump from doing SPVs to running a named fund is where most emerging managers lose momentum. The deals get bigger, the structure gets heavier, and the LP base from deal one often gets left behind in the switch.

The problem is continuity, not structure

Spinning up a fund vehicle is a solved problem. Keeping your investors with you through the change is not.

Every SPV builds a relationship: an investor who onboarded, committed and saw the deal through. When the fund launches on a different system, those relationships reset. Investors re-onboard, re-verify and re-learn where everything lives, and some simply do not make the trip.

Treat the LP base as the asset

The managers who graduate cleanly treat their investor base as the thing worth carrying, not the vehicle. That means the investors verified for your SPVs stay verified for the fund, the commitment history travels with them, and the fund looks like a continuation of the track record rather than a cold start.

One ladder, not three systems

Done on one platform, the move up the tiers is a change of structure, not a change of address. The SPV, the co-invest and the named fund sit on the same rails, so an investor from deal one arrives at the fund already known.

The structure is the easy part. Protect the LP base and the graduation takes care of itself.
