The real cost of running an SPV: a teardown
Every SPV provider quotes a headline number. Almost none of them quote the number you actually pay. We went through forty vehicles line by line to see where the gap comes from.
The quoted price is the setup fee
“From $5K” is the formation cost: entity, bank account, subscription documents, a cap-table line. It is real, and it is the smallest part.
The costs that move the total are the ones that recur or scale with the deal: administration, filings, tax preparation, investor onboarding and the annual upkeep that runs for as long as the vehicle is open.
Where the gap opens up
Three line items do most of the damage. Onboarding, because verifying each investor takes real work and most quotes assume it away. Tax, because K-1s or their equivalents arrive every year whether the deal moved or not. And admin, because someone has to keep the register, process the transfers and answer the LPs.
Stack those across the life of the vehicle and a “from $5K” SPV routinely settles into five figures by the time it closes, more if the investor base is cross-border.
What actually lowers it
The cost does not come down by finding a cheaper formation. It comes down by not re-doing the same work on every deal: investors who are already verified, onboarding that does not restart, and admin that runs on the same system as the raise.
Price the whole life of the vehicle before you run it, not the setup fee. The headline number is the one that matters least.
